Terms of Service

You must be at least 13 years old, or older if your country requires a higher minimum age to use online services. You are responsible for the activity under your account, for keeping sign-in methods secure, and for making sure your account information is accurate. If you use Ponzu for an organization, you represent that you have authority to accept these Terms for that organization.

Ponzu may offer waitlist access, private beta features, previews, or experimental AI workflows. Beta features may change, break, lose data, be rate limited, or be discontinued at any time. We may grant, pause, or revoke early access to keep the Service stable and safe.

You keep ownership of the pages, blocks, files, comments, prompts, and other materials you create, upload, import, or submit to Ponzu ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, display, and back up Your Content only as needed to operate, secure, improve, and provide the Service to you and the people you choose to share with.

You are responsible for Your Content, including having the rights needed to upload or use it in Ponzu. Do not upload sensitive regulated data unless we have agreed in writing that the Service is appropriate for that data.

Ponzu is built for shared work. Content placed in shared workspaces, shared pages, public links, or collaborative views may be visible to other users you invite or authorize. You are responsible for managing workspace members, permissions, and shared links.

AI features may read, summarize, draft, transform, or suggest edits based on content you provide or authorize. AI output can be inaccurate, incomplete, offensive, or unsuitable for your use case. You are responsible for reviewing output before relying on it, publishing it, or sharing it.

AI features are not a substitute for legal, medical, financial, security, or other professional advice. We may limit, throttle, or disable AI usage to protect the Service, comply with provider limits, or prevent abuse.

You agree not to:

• Use the Service to violate laws, rights, contracts, or platform policies.
• Upload malware or attempt to probe, disrupt, overload, or bypass the Service.
• Scrape, reverse engineer, or resell the Service except as allowed by law.
• Use Ponzu to generate, store, or distribute unlawful, abusive, or infringing content.
• Misrepresent AI output as human-authored where disclosure is legally required.
• Interfere with another user's workspace, account, content, or permissions.

Some features may be free, usage-based, credit-based, or included in a paid plan. Paid plans are billed through a payment provider and renew until canceled unless stated otherwise. Fees are non-refundable except where required by law or stated in a separate written agreement. We may change pricing, plan limits, or included features prospectively with reasonable notice.

The Service, including software, design, workflows, brand assets, and documentation, is owned by Conceptify and its licensors. These Terms do not grant you rights to our trademarks or branding. If you send feedback, you allow us to use it without restriction or obligation to you.

Ponzu uses and may integrate with third-party providers for hosting, storage, authentication, email, billing, analytics, error monitoring, AI models, and user-enabled integrations. Third-party services may have their own terms and privacy policies. We are not responsible for third-party services outside our control.

You may stop using Ponzu at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other users, fail to pay fees, or if we are required to do so by law. After termination, your right to use the Service ends, but terms that by their nature should survive will survive.

The Service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and security. We do not promise that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate. You should maintain your own backups of important content.

To the fullest extent allowed by law, Conceptify and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

You agree to defend, indemnify, and hold harmless Conceptify and its affiliates from claims, damages, liabilities, costs, and expenses arising from Your Content, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide additional notice. Your continued use of the Service after updated Terms take effect means you accept the changes.

These Terms are governed by the laws of the jurisdiction where Conceptify, Inc. is organized, without regard to conflict-of-laws rules, except where applicable law requires otherwise. Any dispute will be resolved in the courts located in that jurisdiction unless a separate written agreement says otherwise.
